Commercial Supply Conditions for Industrial Packaging Machinery
B2B relationships between Frei GmbH and professional clients
1. SCOPE & JURISDICTION
These terms govern all sales, tooling configurations, installations, and spare part supplies between Frei GmbH ("Supplier") and business clients ("Client"). All agreements are governed exclusively by Italian law, with the Court of Bolzano (Italy) holding exclusive jurisdiction.
2. QUOTATIONS, BLANK TESTING & CONCLUSION
Technical proposals are valid for 30 days. Custom machinery setups require prior blank sample submission to Merano for tooling cadence tests.
Contracts become binding upon signed order confirmation or receipt of agreed deposit.
3. DELIVERY, RISK & RETENTION OF TITLE
Deliveries are made Ex Works Merano (EXW Incoterms). Risk of loss passes to the Client upon carrier handover.
Retention of Title: Delivered machines remain the sole property of Frei GmbH until payment is settled in full.
4. WARRANTY & LIABILITY
New machinery is covered by a 12-month OEM manufacturer warranty. Certified used units from the marketplace include workshop overhaul guarantees stipulated in the individual agreement.
Liability of Frei GmbH is limited strictly to the net purchase value of the supplied equipment; indirect damages or downtime claims are expressly excluded.
